1. Acceptance of Terms

By accessing or using Qirvo ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all visitors, users, and early access participants.

Agreement to Terms: Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

Age Requirements: You must be at least 18 years old to use the Service. By accessing or using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.

Binding Effect: By creating an account, signing up for early access, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Qirvo provides an AI-powered command platform for orchestrating AI agents, managing workflows, and executing structured tasks. The Service enables users to create, configure, and monitor automated workflows powered by artificial intelligence.

Core Functionality: The Service includes tools for defining AI agent behaviors, creating execution workflows, managing configurations, monitoring execution logs, and integrating with external systems through APIs and command-line interfaces.

Early Access Status: The Service is currently in early access. This means that features may be incomplete, functionality may change without notice, and the Service may contain bugs or errors. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

Service Availability: We strive to maintain high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance, emergency repairs, or factors beyond our control may cause temporary service interruptions.

3. Early Access Program

Participation in the Qirvo early access program provides you with the opportunity to access and test pre-release features of the Service.

Invitation-Only: The early access program is available by invitation only. Invitations are issued at our sole discretion and may be revoked at any time. We reserve the right to limit the number of participants or terminate the program without notice.

Understanding of Pre-Release Status: As an early access participant, you acknowledge that:

- Features may be incomplete or change frequently

- The Service may contain bugs, errors, or unexpected behaviors

- Documentation may be limited or inaccurate

- Support response times may be longer than for general release features

Feedback Requirements: Early access participants are expected to provide constructive feedback about their experience, including reporting bugs, suggesting improvements, and sharing use cases. We may use this feedback to improve the Service without compensation.

Confidentiality: Information about early access features, unreleased capabilities, and program details is confidential. You agree not to disclose confidential information to third parties without our written permission.

4. User Accounts and Registration

To access certain features of the Service, you must create an account. You are responsible for maintaining the security of your account.

Account Creation: When you create an account, you must provide accurate and complete information. You must keep your account information up to date. We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information.

Account Security: You are solely responsible for:

- Maintaining the confidentiality of your account credentials

- All activities that occur under your account

- Any actions taken by AI agents configured under your account

- Ensuring proper access controls for team members (if applicable)

You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any losses caused by unauthorized use of your account.

Account Sharing: You may not share your account credentials with others. Each user must have their own account. Team accounts may have multiple users with defined roles and permissions.

5. User Responsibilities and Acceptable Use

You agree to use the Service in accordance with these Terms and all applicable laws and regulations.

Compliance with Laws: You are responsible for ensuring that your use of the Service complies with all applicable local, state, national, and international laws, regulations, and ordinances. This includes data protection laws, export control regulations, and any restrictions on the use of AI technologies.

Prohibited Activities: You may not use the Service to:

- Engage in any unlawful purpose or activity

- Violate the rights of others, including privacy, intellectual property, or confidentiality rights

- Transmit harmful, offensive, defamatory, or illegal content

- Attempt to gain unauthorized access to systems or data

- Interfere with or disrupt the Service or its underlying infrastructure

- Use the Service to generate harmful content, malware, or malicious code

- Engage in activities that could damage, disable, or impair the Service

AI Agent Conduct: You are responsible for the actions of AI agents configured and operated through your account. Agents must be configured to operate within legal and ethical boundaries. We reserve the right to suspend accounts or agents that engage in prohibited activities.

6. Intellectual Property Rights

The Service, including its design, code, documentation, branding, and all related materials, is the intellectual property of Qirvo, Inc.

Our Rights: The Service and all content, features, and functionality are owned by Qirvo and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Your Rights: You retain ownership of:

- Workflows, configurations, and automation scripts you create

- Data you input into the Service

- Output generated by the Service based on your inputs

- Any content you create using the Service

License to Use Your Content: By uploading, submitting, or storing content in the Service, you grant us a limited license to use, process, and store your content solely for the purpose of providing the Service to you.

Feedback and Suggestions: If you provide feedback, suggestions, or ideas about the Service, we are free to use them without compensation or attribution.

7. Payment Terms

Certain features of the Service may require payment of fees. By using paid features, you agree to our payment terms.

Pricing: Pricing for the Service is as described on our website or in your subscription agreement. We reserve the right to change pricing at any time. Price changes will not affect existing subscriptions until renewal.

Billing: If you subscribe to a paid plan:

- Fees are charged in advance on a monthly or annual basis

- All fees are non-refundable unless otherwise specified

- You must provide valid payment information

- We may suspend your account if payment fails

Taxes: All fees are exclusive of applicable taxes. You are responsible for paying all taxes related to your use of the Service.

Fee Disputes: If you believe there has been an error in billing, contact us within 30 days of the billing date. We will investigate the matter promptly.

8. Data Ownership and Security

We implement appropriate technical and organizational measures to protect your data, but you also have responsibilities regarding your data.

Your Data: You retain full ownership of all data you input into the Service, including workflows, configurations, execution logs, and any content processed by AI agents. We do not claim ownership of your data.

Our Use of Data: We may use aggregated and anonymized data derived from your usage of the Service for analytics, improvements, and research purposes. Such data cannot be used to identify you or your organization.

Data Security: We implement industry-standard security measures, including encryption in transit and at rest, access controls, and regular security assessments. However, no method of transmission over the Internet or electronic storage is completely secure.

Data Backups: While we maintain backups of Service data, you are responsible for maintaining your own backups of critical data. We are not responsible for any loss of data.

Data Export: You may export your data from the Service at any time through the provided export features. Upon account termination, you may request a final data export within 30 days.

9. Third-Party Services and Integrations

The Service may include integrations with third-party services. Your use of third-party services is subject to their respective terms and privacy policies.

Third-Party Integrations: The Service may connect with external tools, platforms, and services through APIs or other integration methods. When you connect third-party services to your Qirvo account, you authorize us to exchange data with those services.

No Endorsement: We do not endorse, guarantee, or assume responsibility for any third-party service, product, or content. Your use of third-party services is at your own risk.

Third-Party Terms: Third-party services have their own terms and privacy policies. You should review those terms before using the third-party service. We are not responsible for the practices of third-party services.

API Access: If you access the Service through our API, you must comply with our API terms and any rate limits or usage restrictions we impose.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

No Implied Warranties: WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Early Access Disclaimer: THE SERVICE IS IN EARLY ACCESS AND MAY CONTAIN BUGS, ERRORS, OR INCOMPLETE FEATURES. BY USING THE EARLY ACCESS PROGRAM, YOU ACKNOWLEDGE AND ACCEPT THESE RISKS.

Your Responsibility: You use the Service at your own risk. You are responsible for proper configuration, testing, and validation of any workflows or agents you create.

No Professional Advice: The Service does not constitute professional advice. We do not provide legal, financial, medical, or other professional advice. You should consult with appropriate professionals for such advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QIRVO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Exclusion of Damages: IN NO EVENT SHALL QIRVO BE LIABLE FOR:

- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES

- DAMAGE TO OR LOSS OF PROPERTY

- COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES

- ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE

- ANY ACTIONS TAKEN BY AI AGENTS CONFIGURED UNDER YOUR ACCOUNT

Cap on Liability: OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Basis of the Bargain: YOU ACKNOWLEDGE THAT THE DISCLAIMERS AND LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US.

12. Indemnification

You agree to indemnify, defend, and hold harmless Qirvo and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses.

Indemnification Obligation: You agree to indemnify, defend, and hold us harmless from any claim or demand made by any third party arising out of:

- Your violation of these Terms

- Your use of the Service

- Your violation of any law or the rights of any third party

- Any content you submit or transmit through the Service

- The actions of AI agents configured under your account

Defense and Settlement: We will provide you with notice of any claim. We have the right to control the defense and settlement of any claim. You will cooperate with us in the defense of any claim.

Survival: The indemnification obligations survive termination of these Terms and your use of the Service.

13. Termination

Either party may terminate these Terms or your access to the Service at any time.

Termination by You: You may stop using the Service at any time. You may delete your account through the Service settings or by contacting support.

Termination by Us: We may suspend or terminate your access to the Service at any time, with or without cause, including for:

- Violation of these Terms

- Non-payment of fees

- Inactivity for an extended period

- Legal or regulatory requirements

- Security concerns or suspicious activity

Effect of Termination: Upon termination:

- Your right to access the Service ceases immediately

- You must stop using the Service

- You may request a final export of your data within 30 days

- Provisions that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, limitations of liability, and indemnification.

14. Changes to Terms

We may modify these Terms at any time. Your continued use of the Service constitutes acceptance of the updated Terms.

Material Changes: We will notify you of material changes to these Terms by:

- Posting the updated Terms on our website

- Sending an email notification to your registered address

- Providing notice through the Service

Effective Date: Updated Terms are effective as of the date posted unless otherwise specified. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Non-Material Changes: We may make non-material changes to these Terms without notice. The current version of the Terms will always be available on our website.

Dispute Resolution: If you do not agree to updated Terms, your sole remedy is to stop using the Service before the changes take effect.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.

Governing Law: These Terms and any dispute arising from them shall be governed by the laws of the State of Delaware, United States, regardless of where you access the Service.

Dispute Resolution: Any dispute arising from these Terms will be resolved through:

- Informal Negotiation: Parties will attempt to resolve disputes through good-faith negotiations for 30 days

- Arbitration: Disputes not resolved informally will be submitted to binding arbitration under the rules of the American Arbitration Association

- Location: Arbitration will be conducted in Delaware, United States

Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

Waiver of Jury Trial: YOU WAIVE YOUR RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING FROM THESE TERMS.

Limitation on Claims: You must file any claim within one (1) year of the date the claim arose, or the claim is forever barred.

16. General Provisions

These Terms constitute the entire agreement between you and Qirvo regarding the Service.

Entire Agreement: These Terms constitute the entire agreement between you and Qirvo regarding your use of the Service and supersede all prior agreements, representations, and understandings.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice.

Notices: All notices should be sent to:

Force Majeure: We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, acts of war, or infrastructure failures.

Independent Contractors: The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, or agency relationship.
